These Terms & Conditions (\"Program Terms\") govern your participation in the Kittl Creator Program (\"Program\"), operated by Kittl Technologies GmbH, Saarbrücker Straße 37, 10405 Berlin, Germany (\"Kittl\", \"we\", \"us\"). These Program Terms supplement Kittl's general Terms of Service (\"General Terms\") available at kittl.com/terms. In the event of any conflict between these Program Terms and the General Terms, these Program Terms shall prevail with respect to your participation in the Program.

By checking the consent box and participating in the Program, you confirm that you have read, understood, and agree to be bound by these Program Terms in full.

1. Eligibility

1.1 The Program is open to individuals who are at least 18 years of age at the time of application.

1.2 To be eligible, you must hold an active, public Instagram, TikTok or YouTube account and meet the minimum qualifying criteria set by Kittl for the campaign type you are applying to. Minimum criteria (including follower count, content quality, and audience geography) are displayed on each campaign page and may be updated by Kittl at any time.

1.3 Eligibility to participate in individual campaigns is assessed separately from eligibility to join the Program. Joining the Program does not guarantee access to any specific campaign.

1.4 The Program is available to creators worldwide, subject to the following restrictions: (a) creators in jurisdictions subject to applicable sanctions laws are not eligible; (b) campaign availability may vary by country or region based on legal, regulatory, or business considerations; and (c) Kittl reserves the right to restrict access in any region at any time.

1.5 Kittl reserves the right to adjust eligibility criteria at any time and to determine your eligibility at its discretion.

2. Account Verification

2.1 To participate in any campaign, you must complete Instagram, TikTok or Youtube account verification. Verification requires you to temporarily place a unique code in your bio for a defined window. The code must remain in your bio for the duration of the verification check.

2.2 Only verified accounts are eligible to browse or apply to campaigns. If verification is not completed, you will be prompted to complete it before proceeding.

2.3 Kittl verifies your account via automated systems. You acknowledge that (a) verification may take up to a few minutes to complete; (b) the system checks your account as it exists at the time of the check; and (c) providing inaccurate information during verification — including using a bio code on an account other than your own — constitutes a material breach of these Program Terms.

2.4 Kittl may revoke verification status at any time if there is reason to believe that account information provided was inaccurate, fraudulent, or has materially changed since verification.

3. Campaigns

3.1 The Program offers two campaign types:

(a) Creative Collabs (Briefs) — Brief-based campaigns where you apply, receive an offer based on your account metrics, accept or decline, submit a draft for review, and post following approval.

(b) Post & Earn — Flat-fee campaigns where you download pre-made assets, create and post content following the brief requirements, and submit a screenshot or post link as proof of posting. No draft review applies to Post & Earn submissions.

3.2 Campaign details — including compensation, content requirements, posting windows, and submission deadlines — are set out on each campaign page. You are responsible for reading and understanding campaign requirements before applying or participating.

3.3 Applying to a campaign constitutes your agreement to the campaign-specific requirements. You may decline an offer prior to acceptance without penalty.

3.4 Once you accept a campaign offer, you are committed to fulfilling the requirements within the specified timeframe. Material non-delivery without reasonable cause may result in cancellation of the offer, forfeiture of payment for that campaign, and may affect your access to future campaigns.

3.5 Kittl may pause, modify, or close campaigns at any time. Where a campaign is closed after you have accepted an offer and begun work, Kittl will act reasonably in relation to any work completed.

4. Content Requirements

4.1 All content submitted under the Program must: (a) comply with the specific requirements of the campaign brief; (b) comply with applicable laws and platform rules; (c) include the required FTC-compliant disclosure (see Section 10); (d) be original content created by you; and (e) not infringe the intellectual property or other rights of any third party.

4.2 Content must not: (a) be defamatory, discriminatory, misleading, or sexually explicit; (b) include claims about Kittl, its products, or its competitors that are not supported by or permitted within the campaign brief; (c) feature third-party materials (music, footage, images) for which you do not hold the necessary rights; or (d) violate any platform's terms of service.

4.3 For Creator Briefs, you must submit a draft for review before posting. Content may not be posted publicly until approval has been confirmed. Posting before approval constitutes a breach of these Program Terms.

4.4 For Post & Earn campaigns, content must be posted in accordance with the brief requirements. You are responsible for ensuring the posted content meets all requirements before submitting proof of posting.

4.5 Submitted content must remain publicly accessible for a minimum of three hundred and sixty-five (365) consecutive days from the date of posting. Early removal without Kittl's written consent may result in payout being withheld or reclaimed.

5. Content Review & Approval

5.1 For Creative Collabs, Kittl will review your draft submission and provide one of the following outcomes: (a) Approved — you may post the content as submitted; (b) Approved with notes — you may post, and optional feedback is provided; or (c) Rejected — the draft does not meet brief requirements. Rejection reasons will be provided.

5.2 Kittl aims to review drafts within a reasonable timeframe. Review timelines may vary during high-volume periods.

5.3 If your draft is rejected, you may revise and resubmit within the campaign posting window, subject to the campaign deadline. Resubmission after the campaign deadline is not permitted.

5.4 Kittl reserves the right to reject any submission at its discretion, including after initial approval, if it subsequently determines that the content breaches these Program Terms, the campaign brief, or applicable laws.

5.5 Approved content may be reviewed after posting. If posted content is found to materially deviate from the approved draft or to breach these Program Terms, Kittl may request removal and may withhold or reclaim payment.

6. Fraud & Prohibited Conduct

6.1 The following conduct constitutes a material breach of these Program Terms and may result in immediate removal from the Program, forfeiture of any pending or future payouts, and recovery of any payments already made:

(a) Engagement fraud

Artificially inflating views, likes, comments, followers, or any other engagement metric
Use of bots, click farms, engagement pods, purchased interactions, or similar services
Submitting content originally created by another creator as your own
Submitting duplicate or near-duplicate content across multiple accounts

(b) Submission fraud

Submitting screenshots, links, or proof of posting that have been fabricated or edited
Submitting content that was not posted in accordance with the campaign brief
Claiming campaign compensation for content that was removed prior to the required retention period without Kittl's consent

(c) Platform manipulation

Attempting to circumvent Kittl's verification systems or rate engine
Creating or using multiple accounts to participate in the same campaign
Misrepresenting account ownership, audience geography, or account metrics during verification or at any other time

6.2 Kittl uses automated and manual systems to detect the conduct described above. Determinations are made at Kittl's discretion. You acknowledge that automated assessments may result in submission rejection or account suspension pending review.

6.3 Kittl reserves the right to update its fraud-detection criteria at any time without notice.

7. Appeals

7.1 If your submission is rejected and you believe the rejection was made in error, you may submit an appeal by emailing marketing@kittl.com. This is the only channel through which appeals are accepted.

7.2 Your appeal must include a clear explanation of why you believe the rejection was incorrect and may include supporting evidence such as screenshots or post links.

7.3 Each rejected submission is eligible for one (1) appeal only.

7.4 Kittl will review appeals and issue a decision. Appeal decisions are final and not subject to further review. Kittl is not obligated to provide a detailed explanation of the appeal outcome.

7.5 Appeals submitted through any channel other than marketing@kittl.com — including social media, direct messages, or any other platform — will not be reviewed.

8. Payouts

8.1 Compensation for each campaign is displayed on the campaign page at the time of application. For Creator Briefs, your individual offer is calculated based on your account metrics (including follower count, median views, and audience geography) using Kittl's rate engine. Rates are transparent — you will see the basis for your offer on the offer screen.

8.2 Payment is conditional upon: (a) submission and approval of your content (for Creator Briefs); (b) submission of valid proof of posting (live post URL); (c) your content remaining publicly accessible for the required retention period; and (d) your compliance with these Program Terms and the campaign brief.

8.3 Payments are processed automatically seven (7) days after your live post link is submitted and verified. The 7-day period is intended to allow for post-publication review and retention confirmation.

8.4 All payments are processed via Tipalti. You must complete Tipalti onboarding — including submission of accurate tax and identity documentation — before any payment can be made. Kittl does not support alternative payment methods. Delays caused by incomplete Tipalti onboarding are your responsibility.

8.5 Kittl is not responsible for delays caused by third-party payment processors or financial institutions after payment has been initiated.

8.6 Kittl reserves the right to withhold, delay, or reclaim payments where fraud, policy violations, content removal, or errors are suspected or detected — including after initial payment has been made.

8.7 You are solely responsible for all tax obligations arising from payments received under the Program. Kittl does not provide tax advice. You should seek independent tax guidance if needed.

9. Content License & Ownership

9.1 By submitting content under the Program and accepting payment, you grant Kittl a worldwide, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, publicly display, and publicly perform the content organically across Kittl's owned and operated channels, for the full term of copyright protection. This license is non-exclusive.

9.2 Organic use includes but is not limited to: Kittl's owned social media channels, kittl.com, and in-platform showcases. Kittl will aim to inform you before reposting your content, particularly for prominent placements or edits, and will take into consideration any reasonable concerns raised in advance.

9.3 You retain ownership of the content you create. The license granted in Section 9.1 does not transfer copyright ownership to Kittl; it grants Kittl broad rights to use the content as described.

9.4 You represent and warrant that: (a) you are the sole creator and owner of the content, or have obtained all necessary rights to grant the license above; (b) the content does not infringe the intellectual property or other rights of any third party; and (c) you have the right to grant Kittl the rights described in Section 9.1.

9.5 You grant Kittl the right to use your name, handle, image, and likeness as they appear in submitted content, for the purposes described in Section 9.1.

10. FTC Disclosure & Legal Compliance

10.1 All content posted under the Program must include a clear, prominent, and upfront disclosure of the commercial relationship with Kittl. Acceptable disclosure formats include: #ad, #KittlPartner, the platform's native paid-partnership or branded-content label, or any disclosure required by applicable law in your jurisdiction.

10.2 Disclosures must appear at the beginning of the caption or at the start of the video/audio where the audience will see or hear them before engaging with the content. Disclosures buried in hashtag lists or placed below a \"more\" fold are not compliant.

10.3 You are solely responsible for complying with all advertising disclosure laws and platform rules applicable in your jurisdiction. Kittl recommends reviewing the FTC Guides Concerning the Use of Endorsements and Testimonials and equivalent regulations applicable where you are based.

10.4 Non-compliant disclosures may result in rejection of the submission and may affect your eligibility for future campaigns.

11. Independent Contractor

11.1 You participate in the Program as an independent contractor. Nothing in these Program Terms creates an employment, partnership, joint venture, or agency relationship between you and Kittl.

11.2 You are responsible for your own tax obligations, insurance, and compliance with applicable laws in connection with your participation in the Program.

12. Confidentiality

12.1 Campaign briefs, draft content, and any non-public materials provided to you by Kittl in connection with the Program are confidential and may not be shared, published, or disclosed to third parties without Kittl's prior written consent.

12.2 These confidentiality obligations remain in effect for the duration of your participation in the Program and for two (2) years following its termination.

13. Suspension & Removal

13.1 Kittl may suspend your access to the Program or remove you permanently, with or without prior notice, for any of the following reasons:

Violation of these Program Terms or Kittl's General Terms
Fraudulent activity or suspected fraud (Section 6)
Repeated submission rejections without evidence of good-faith effort to comply
Conduct that Kittl reasonably determines is harmful to the Program, other creators, or the Kittl brand

13.2 Upon suspension, access to campaigns will be paused. Pending payouts for approved and verified submissions completed prior to suspension will be processed in accordance with standard payment timelines.

13.3 Upon permanent removal, payouts for accepted and verified submissions will be processed. Payouts for any submissions under active dispute or fraud investigation may be withheld.

14. Indemnification

14.1 You agree to indemnify and hold Kittl, its affiliates, officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) content you create and submit under the Program; (b) your violation of these Program Terms; (c) your violation of any applicable law or third-party rights; or (d) any false or misleading representation you make in connection with the Program.

15. Limitation of Liability

15.1 Kittl provides the Program on an \"as is\" and \"as available\" basis. Kittl makes no guarantees regarding campaign availability, the outcome of any submission or review, or platform uptime.

15.2 To the maximum extent permitted by applicable law, Kittl shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the Program.

15.3 Kittl's total liability to you in connection with the Program shall not exceed the total amount of payouts actually received by you in the twelve (12) months preceding the claim.

16. Data Protection

16.1 Kittl processes your personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), and Kittl's Privacy Policy available at kittl.com/privacy.

16.2 For the purpose of operating the Program, Kittl may share your data with the following third parties:

16.3 You have the right to access, correct, or request deletion of your personal data in accordance with applicable law. Requests can be submitted to privacy@kittl.com.

17. Governing Law & Dispute Resolution

17.1 These Program Terms are governed by the laws of Germany, without regard to its conflict of laws provisions.

17.2 Any disputes arising from or in connection with these Program Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

17.3 This clause does not affect any mandatory consumer protection rights you may have under the laws of the country in which you are based, where those rights cannot be excluded by contract.

18. Modifications

18.1 Kittl reserves the right to modify these Program Terms at any time. Updated terms will be posted in the platform's Legal section with a revised \"Last updated\" date.

18.2 Where changes are material, Kittl will notify you via email or in-platform notification. Continued participation in the Program after changes are posted constitutes acceptance of the modified terms.

18.3 If you do not accept a material change to these Program Terms, your sole remedy is to cease participation in the Program.

19. Consent

By checking the consent box and participating in the Program, you confirm that:

You are at least 18 years of age.
You have read and understood these Program Terms in full.
You agree to be bound by these Program Terms and Kittl's General Terms.
You understand that violations may result in submission rejection, payment withholding, or removal from the Program.

This Policy defines the scope of privacy and degree of confidentiality protecting the information provided by users during registration and normal use of kittl.com (“Site”), Kittl’s services, programs and facilities. At any time, users can, at their discretion, allow or forbid collection and use of their personal information.

This Site is owned and operated by Kittl Technologies GmbH, a German company, and its affiliates (doing business as and collectively referred to as “Kittl”). By using the Site, user provides his/her consent that Kittl has the authority to collect, use and disclose the user’s personal information according to the rules of this Policy.

Kittl proclaims and accepts its responsibility to protect the user’s personal information. This document contains the rules upon which such information is collected and used, and also the reasons for disclosure of such information. These rules apply to any personal information collected by Kittl.

PERSONAL INFORMATION WE COLLECT
When you visit the Site, we automatically collect certain information about your device, including information about your web browser, IP address, time zone, and some of the cookies that are installed on your device. Additionally, as you browse the Site, we collect information about the individual web pages or products that you view, what websites or search terms referred you to the Site, and information about how you interact with the Site. We refer to this automatically-collected information as “Device Information.”

We collect Device Information using the following technologies:

HOW DO WE USE YOUR PERSONAL INFORMATION?
We use the Order Information that we collect generally to fulfill any orders placed through the Site (including processing your payment information, arranging for shipping, and providing you with invoices and/or order confirmations). Additionally, we use this Order Information to:

Communicate with you;
Screen our orders for potential risk or fraud;
and When in line with the preferences you have shared with us, provide you with information or advertising relating to our products or services.

THIRD PARTY DISCLOSURE
We share your Personal Information with third parties to help us use your Personal Information, as described above. Finally, we may also share your Personal Information to comply with applicable laws and regulations, to respond to a subpoena, search warrant or other lawful request for information we receive, or to otherwise protect our rights.

APPS AND THIRD-PARTY INTEGRATIONS

Kittl lets you connect third-party services to your Kittl account. We refer to these connections as \"apps.\" Depending on the app, you may use it to bring assets into the Kittl Editor (for example, browsing images, files, or store products you've saved on a third-party service), or to publish designs from Kittl to those services (for example, creating a product on a print-on-demand store or listing a design on a marketplace).

When you connect an app, the third-party service issues Kittl an authorization token (and, where applicable, a refresh token) that allows Kittl to call the service's API on your behalf. Kittl does not receive your password for that service. The scope of access — for example, your boards, products, files, listings, shops, or storefront data — is defined by the permissions you grant during the connection flow, and by any changes you later make in your account on the third-party service.

If you import content from an app into a Kittl design (for example, adding an image to your canvas), that content becomes part of your design and is stored, processed, and shared in the same way as any other content in your workspace.

If you use an app to publish a design from Kittl to a third-party service (for example, creating a product on a print-on-demand store, or listing a design on a marketplace), the design content you choose to send — such as the image, title, and description — is sent to that third-party service via its API. Once published, that content is subject to the third-party service's terms and privacy practices, alongside this Privacy Policy. Kittl may also receive operational data back from the third-party service in connection with the publish flow, such as the resulting product or listing identifier, publication status, error messages, and similar webhook or API responses; we use this data to operate the integration.

You can disconnect an app at any time in your Kittl Settings, or by revoking access directly in your account on the third-party service. When you disconnect, Kittl disables the connection and deletes the active authorization credentials from our production systems. Limited copies may persist briefly in security logs and backups before being overwritten in the ordinary course. Disconnecting stops Kittl's future access to the service, but does not by itself remove products, listings, or other items you previously created on the third-party service through Kittl — those remain subject to the third-party service and to any actions you take there.

Kittl does not sell app credentials or app-derived personal data. Data from apps may be processed by our service providers (such as hosting and infrastructure providers) as needed to operate the Kittl Editor.

For apps that Kittl develops and maintains, we publish a per-app disclosure listing the API used, the data accessed, and what happens when you disconnect. These disclosures supplement, and apply in conjunction with, this Privacy Policy:

Apps developed by third-party providers are governed by those providers' own privacy policies, linked from the app's listing in Kittl.

DATA RETENTION
When you place an order through the Site, we will maintain your Order Information for our records unless and until you ask us to delete this information. To have your information deleted, please send your request to info@kittl.com.

CHANGES
